By creating an account, submitting a booking request, making a payment, reserving a listing, communicating with a Host or Provider, accessing a property, using a vehicle, participating in an experience, purchasing a deal, or otherwise using GaiaStR ("GaiaStR™"), you acknowledge, understand, and agree to these Terms of Service and the Renter / Guest Disclaimer & Booking Agreement below.
By opting in to SMS text messages from GaiaStR (separate optional consent required), you agree to the following:
Our privacy practices are described in our Privacy Policy, which is incorporated into these Terms by reference.
You must be at least eighteen (18) years old and legally capable of entering a binding agreement to create an account, make a booking, purchase an Adventure Pass, list a service, or otherwise transact through GaiaStR.
You are responsible for maintaining accurate account information, protecting your login credentials, and promptly notifying GaiaStR of suspected unauthorized access. You may not create an account for another person without lawful authority, impersonate another person or business, evade a suspension or block, or use false identity, payment, licensing, or verification information.
Payments may be processed by Stripe or another payment processor selected by GaiaStR. Your use of payment services may also be subject to that processor’s terms, privacy practices, identity-verification requirements, fraud controls, card-network rules, and banking requirements.
GaiaStR does not store complete payment-card numbers. Authorization, capture, refund, chargeback, transfer, payout, and bank-deposit timing may depend on the payment processor, card network, financial institution, and applicable law. GaiaStR may delay, hold, reverse, or refuse a transaction where reasonably necessary for fraud prevention, disputes, refunds, chargebacks, safety, sanctions/compliance, verification, or legal obligations.
You may not use GaiaStR if doing so would violate applicable sanctions, export-control laws, anti-money-laundering requirements, court or governmental restrictions, or other laws that prohibit GaiaStR or its payment providers from providing services to you or processing the transaction. You may not use GaiaStR to conceal the identity of a prohibited person, evade lawful restrictions, launder funds, finance unlawful activity, or cause GaiaStR, a Host, a payment processor, or another user to violate applicable law.
GaiaStR may request information reasonably necessary for sanctions, identity, fraud, financial-crime, payment, or regulatory screening and may reject, hold, cancel, restrict, or report activity where reasonably necessary to comply with law, payment-network requirements, or lawful governmental obligations.
GaiaStR’s software, site design, logos, graphics, marketplace organization, proprietary features, written platform content, and other GaiaStR-owned materials are protected by applicable intellectual-property laws. Except as expressly allowed by GaiaStR, users may not copy, scrape, reproduce, sell, reverse engineer, republish, or commercially exploit GaiaStR-owned platform materials.
You retain ownership of content you lawfully submit, subject to any separate Host or listing agreement. By submitting content to GaiaStR, you represent that you have the necessary rights to use it and grant GaiaStR the rights reasonably necessary to host, display, reproduce, format, distribute, and use that content to operate, market, secure, and improve the platform and the applicable listing or transaction.
GaiaStR may restrict features, place financial holds, remove content or listings, suspend or terminate accounts, block future access, or cancel transactions where reasonably necessary to protect users or the platform, investigate fraud or abuse, comply with law or payment-processor requirements, address safety concerns, enforce these Terms, or manage unresolved payment, refund, chargeback, damage, no-show, or dispute issues. Where appropriate and legally permitted, GaiaStR may provide notice or an opportunity to resolve the issue.
You consent to receive legally required and operational notices electronically through GaiaStR, your account, and the email address associated with your account. Electronic records, acknowledgments, checkboxes, timestamps, signatures, and consent records may be used to evidence agreements and transactions to the extent permitted by applicable law. Optional SMS, marketing email, and promotional Push permissions remain separate choices as described in these Terms and the Privacy Policy.
When you submit a payment method or authorize a transaction, you authorize GaiaStR and its payment processor to charge or otherwise process amounts that are properly disclosed at checkout or that later become due under the applicable booking, listing, damage, cancellation, refund, chargeback, Adventure Pass, Host, or other agreed policy, subject to applicable law, card-network rules, and any required additional authorization.
You remain responsible for legitimate unpaid balances, reversals, chargebacks, damage amounts, cancellation amounts, taxes, fees, or other obligations for which you are responsible under the applicable agreement. GaiaStR may offset amounts otherwise payable to you, maintain holds or reserves, request repayment, or use lawful collection methods where permitted. Nothing in this section eliminates your right to dispute a charge or exercise rights that cannot lawfully be waived.
GaiaStR may link to, integrate with, or enable users to connect to independent third-party websites, applications, payment services, mapping tools, identity services, social networks, marketing platforms, or other services. Unless GaiaStR expressly states otherwise, those services are operated independently and are governed by their own terms and privacy practices. GaiaStR is not responsible for the availability, content, security, promises, acts, omissions, or downstream data practices of an independent third party merely because GaiaStR links to or interoperates with that service.
By creating an account, submitting a booking request, making a payment, reserving a listing, communicating with a Host or Provider, accessing a property, using a vehicle, participating in an experience, purchasing a deal, or otherwise using GaiaStR™, the renter, guest, traveler, customer, or user ("Guest") acknowledges, understands, and agrees to the following terms.
1. Independent Marketplace Disclaimer. GaiaStR™ is a marketplace platform that helps Guests discover, compare, request, reserve, and book stays, transportation, discoveries, local experiences, deals, dining, wellness, spa services, and related services. Listings on GaiaStR™ are independently listed, managed, priced, operated, and controlled by third-party hosts, owners, providers, operators, vendors, businesses, or service providers. GaiaStR™ is not the owner, operator, employer, agent, landlord, transportation company, hotel, property manager, rental car company, tour operator, restaurant, spa, wellness provider, experience provider, or direct service provider for any listing unless specifically stated in writing.
2. Listing Accuracy. Each Host or Provider is responsible for the accuracy of their listing, including descriptions, photos, pricing, availability, location, amenities, rules, restrictions, fees, deposits, cancellation terms, safety information, insurance requirements, guest limits, and any other listing information. Guests are responsible for reviewing the full listing before booking.
3. Booking Responsibility & Contract With the Host/Provider. Guests understand that once a booking, reservation, purchase, or service is confirmed, the Guest enters into a binding contract for the listed service directly with the applicable Host or Provider, while GaiaStR remains the marketplace platform unless GaiaStR specifically states in writing that it is the direct provider. Guests are responsible for reading all listing details, rules, cancellation policies, refund policies, age requirements, identification requirements, deposit requirements, arrival instructions, check-in and check-out instructions, and any additional terms disclosed before booking. Any supplemental Host or Provider term must be disclosed before booking, must relate to the listing or service, and may not override applicable law or an express GaiaStR platform policy.
4. Guest Conduct & Responsibility for the Booking Party. The Guest who makes the booking is responsible for their own acts and omissions and, to the extent permitted by applicable law, for the acts and omissions of invited guests, minors under their supervision, approved drivers or participants, pets, and anyone they authorize to access or use the booked property, vehicle, vessel, equipment, service, or experience. The booking Guest is responsible for ensuring that members of the booking party are aware of and comply with applicable listing rules, eligibility requirements, safety instructions, and lawful Host/Provider requirements. Guests agree to act responsibly, respectfully, safely, and lawfully at all times and not to damage property, vehicles, equipment, vessels, aircraft, furnishings, amenities, or personal belongings, or engage in illegal activity, disruptive behavior, unsafe conduct, harassment, violence, theft, fraud, unauthorized parties, excessive noise, smoking where prohibited, unauthorized pets, overcrowding, or reckless operation of equipment.
5. Stays, Check-In, Check-Out & Property Rules. For stay listings, Guests are responsible for following all property rules, occupancy limits, quiet hours, parking instructions, pet rules, smoking rules, pool or spa rules, trash instructions, security instructions, HOA rules, building rules, community rules, marina rules, local ordinances, and check-in/check-out times. GaiaStR may use a Guest-initiated check-in or check-out action together with device/browser location, time, reservation data, and other verification signals to document arrival or departure and, where applicable, release access instructions such as entry codes, key-location details, or pickup information. Location verification is used for booking operations, safety, fraud prevention, disputes, and payout evidence; it is not intended as continuous background tracking. Late check-out, early check-in, excessive cleaning, missing items, damage, unauthorized guests, unauthorized pets, parties, noise violations, or rule violations may result in additional charges, removal from the property, cancellation without refund, loss of deposit, or claims for damages.
6. Temporary Use / No Tenancy Disclaimer. Unless specifically stated in a separate written agreement required by law, GaiaStR™ bookings are intended for temporary travel, short-term use, vacation use, transportation use, local experiences, marketplace services, or limited-time access only. A booking does not create a landlord-tenant relationship, leasehold interest, ownership interest, employment relationship, agency relationship, partnership, or other permanent right to occupy, use, control, or possess any property, vehicle, vessel, equipment, space, service, or listing.
7. Transportation, Vehicles, Vessels & Air Listings. For transportation listings, Guests are responsible for meeting all eligibility, license, age, insurance, deposit, safety, and operational requirements set by the Host, Provider, platform, insurer, or applicable law. Guests agree not to operate any vehicle, vessel, aircraft, equipment, or transport option while impaired, unlicensed, reckless, unauthorized, or in violation of the listing rules or law.
8. Boats, Water Activities & Marine Listings. Guests understand that boats, yachts, jet skis, water taxis, paddleboards, kayaks, cruises, charters, marina listings, and water-based activities may involve additional risk. Guests agree to follow all captain instructions, marina rules, safety rules, life jacket requirements, weather restrictions, passenger limits, boating laws, provider policies, and emergency procedures.
9. Discoveries, Experiences & Local Activities. For discovery, tour, activity, dining, wellness, spa, restaurant, nightlife, adventure, water, event, or local experience listings, Guests understand that participation may involve risk. Guests are responsible for following provider instructions, safety rules, age limits, health restrictions, arrival times, dress codes, waiver requirements, weather policies, and participation requirements.
10. Deals, Discounts, Adventure Passes & Promotional Offers. Deals, discounts, coupons, sponsored offers, and promotional listings are provided by independent Hosts or Providers unless otherwise stated. Discovery and Deal purchases may be issued as a GaiaStR Adventure Pass. At launch, an Adventure Pass is generally valid for 90 days from the confirmed successful payment time, may be gifted where enabled, and is redeemed only when the participating business or authorized GaiaStR personnel validates the pass by QR code, redemption code, or approved customer lookup. A traveler cannot self-redeem a pass. Scheduling may occur after purchase directly with the business where applicable. An unused Adventure Pass that expires may convert its remaining eligible paid value to GaiaStR Travel Credit under the applicable GaiaStR policy. Expiration by itself is not a business redemption and does not create a Host payout. Guests remain responsible for reviewing listing-specific blackout dates, scheduling requirements, included services, taxes, fees, cancellation terms, no-show terms, and redemption instructions.
11. Required Fees & Payment Disclosure. Guests are responsible for reviewing all pricing, required fees, deposits, taxes, platform charges, provider charges, cleaning fees, delivery fees, service fees, optional add-ons, cancellation terms, refund rules, and total charges before submitting payment.
12. Payments, Deposits, Fees, Refunds & Credits. Guests agree to pay all booking charges, platform fees, taxes, deposits, security holds, provider fees, cleaning fees, delivery fees, late fees, cancellation fees, damage charges, and other applicable charges disclosed at booking or required under the listing terms. Refunds, partial refunds, GaiaStR Travel Credit, cancellations, reschedules, no-show claims, chargebacks, and disputes are subject to the applicable listing policy, provider policy, payment processor rules, evidence available to GaiaStR, and GaiaStR™ policies. While a refund, dispute, no-show claim, fraud review, safety review, or other financial hold is unresolved, related Host payout may remain on hold.
13. Damage, Loss, Fees & Charges. Guests agree they may be financially responsible for damage, loss, excessive cleaning, missing items, broken rules, late fees, parking violations, tickets, fines, deposits, deductibles, chargebacks, provider claims, unauthorized use, abandoned property, or other charges caused by the Guest, their invited guests, minors, pets, or anyone they allow to access the listing, vehicle, vessel, aircraft, service, or experience.
14. Safety, Risk & Personal Responsibility. Guests understand that travel, stays, transportation, water activities, air activities, outdoor activities, local experiences, dining, wellness services, and third-party services may involve risks, including injury, illness, accident, property damage, theft, delays, weather events, cancellations, medical emergencies, or conditions outside GaiaStR™'s control. Guests accept responsibility for their own safety, belongings, travel decisions, personal conduct, and participation choices.
15. Insurance & Personal Coverage. Guests are responsible for determining whether they need personal travel insurance, rental insurance, vehicle insurance, health insurance, event insurance, liability coverage, or other protection. GaiaStR™ does not guarantee that any Host, Provider, listing, vehicle, vessel, aircraft, experience, activity, restaurant, wellness service, or booking is covered by insurance unless specifically stated in writing.
16. Cancellations, Changes, No-Shows & Availability. Listings, prices, availability, schedules, services, vehicles, vessels, aircraft, experiences, appointments, deals, and providers may change due to Host availability, provider availability, weather, maintenance, safety concerns, legal restrictions, emergencies, force majeure events, payment issues, or other circumstances. Cancellation and no-show outcomes are listing-specific where disclosed. Guests and Hosts are responsible for any booking modification they agree to, including resulting price differences, fees, taxes, credits, timing changes, or eligibility requirements. When GaiaStR provides a modification or messaging tool, material booking changes should be documented through GaiaStR or confirmed by GaiaStR support so the parties and platform have a reliable record. For scheduled Adventure Pass activity, a Host no-show claim does not automatically pay the Host or automatically eliminate the traveler’s value; GaiaStR may hold the financial outcome while the Host and traveler submit information and GaiaStR reviews the claim.
17. Safety Removal & Platform Protection. GaiaStR™ or the Host/Provider may deny access, cancel a booking, remove a Guest, restrict account access, suspend platform use, or report misconduct if there is suspected fraud, unsafe conduct, illegal activity, excessive noise, unauthorized parties, unauthorized commercial use, property damage, vehicle misuse, vessel misuse, equipment misuse, threats, harassment, violence, rule violations, payment issues, or conduct that may create risk.
18. Third-Party Providers. Guests understand that Hosts and Providers are independent third parties. GaiaStR™ may provide tools for discovery, communication, booking, payments, reviews, support, verification, sponsored placement, and marketplace visibility, but GaiaStR™ does not control every action, omission, statement, service, rule, condition, safety practice, or decision of independent Hosts and Providers.
19. Marketplace Badges, Reviews & Sponsored Labels. GaiaStR™ may display badges, verification labels, ratings, reviews, sponsored placements, featured placements, discounts, deals, "5-Star Host" labels, "Verified" labels, "Featured" labels, "Gaia Pick" labels, "Founding Host" labels, or other promotional labels. These labels are informational and promotional only and do not guarantee listing quality, safety, availability, pricing, guest satisfaction, host performance, provider performance, insurance coverage, legal compliance, or booking results.
20. Guest Identity, Verification, Location Evidence & Account Accuracy. Guests agree to provide accurate information, including legal name, contact information, payment information, identification, license information where required, and any other information needed for booking, check-in/check-out verification, safety, fraud prevention, compliance, or provider requirements. When a Guest chooses to use an arrival, check-in, checkout, pickup, or completion feature, GaiaStR may record the event time and location-verification evidence for the purposes described in these Terms and the Privacy Policy. GaiaStR™ may deny, cancel, suspend, or restrict access if information is false, incomplete, suspicious, fraudulent, or unverifiable.
21. No Unauthorized Commercial Use. Unless specifically approved in writing, Guests may not use GaiaStR™ listings for unauthorized commercial activity, resale, subleasing, unauthorized events, filming, professional shoots, paid gatherings, illegal activity, business operations, or any purpose not disclosed before booking.
22. Reviews, Communication & Platform Use. Guests agree to communicate respectfully and honestly through GaiaStR™ where applicable. Guests may not harass, threaten, discriminate, manipulate reviews, bypass platform payments, solicit off-platform bookings, misrepresent facts, abuse the marketplace, spam providers, misuse platform tools, or interfere with another user's experience.
23. Taxes, Local Rules & Legal Compliance. Guests agree to comply with all applicable laws, regulations, ordinances, community rules, building rules, HOA rules, marina rules, airport rules, parking rules, event rules, transportation laws, boating laws, aviation laws, and provider instructions.
24. Weather, Emergencies & Force Majeure. Weather, natural disasters, storms, hurricanes, flooding, fires, road closures, flight delays, mechanical issues, public emergencies, government actions, illness, safety issues, provider emergencies, or other events outside reasonable control may affect bookings, transportation, experiences, deals, or services. Refunds, credits, cancellations, or reschedules may be subject to the applicable listing terms, provider policy, GaiaStR™ policy, and payment processor rules.
25. Limitation of GaiaStR™ Responsibility. To the fullest extent permitted by law, GaiaStR™ is not responsible for independent Host or Provider conduct, listing inaccuracies, property conditions, vehicle conditions, vessel conditions, aircraft conditions, service quality, cancellations, accidents, injuries, losses, theft, delays, damages, disputes, weather conditions, third-party actions, guest-provider disagreements, or failure of any Host or Provider to perform, except as required by applicable law or GaiaStR™'s written policies.
26. Updates to Terms. GaiaStR™ may update these Terms from time to time. Continued use of GaiaStR™ after updates may constitute acceptance of the updated terms, where permitted by law. Guests should review applicable terms before booking, purchasing, or using any listing or service.
27. Account Closure & Record Retention. A Guest may request or initiate account cancellation where available. Account cancellation ends future account access but does not necessarily erase records GaiaStR is permitted or required to retain, including transaction, payment, tax, refund, dispute, payout, consent, safety, fraud-prevention, chargeback, security, and legal-compliance records.
28. Acknowledgment. By checking the agreement box, creating an account, submitting a booking request, making a payment, purchasing a deal, accessing a listing, or using GaiaStR™, the Guest confirms that they have read, understood, and agree to these Terms of Service and this Renter / Guest Disclaimer & Booking Agreement.
To the fullest extent permitted by law, GaiaStR is provided on an “as is” and “as available” basis. GaiaStR does not promise uninterrupted availability, error-free operation, specific booking volume, profitability, availability of any listing, or that every Host, Guest, Provider, listing, badge, review, document, insurance policy, permit, or verification result will remain accurate, current, lawful, safe, or complete.
Nothing in these Terms excludes any warranty, right, or remedy that cannot lawfully be excluded.
To the fullest extent permitted by applicable law, GaiaStR LLC and its officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost revenue, loss of data, loss of opportunity, or losses arising primarily from the conduct of independent Hosts, Guests, Providers, payment processors, financial institutions, telecommunications providers, or other third parties. Any limitation applies only to the extent permitted by law and does not limit liability that cannot legally be limited or excluded.
To the extent permitted by law, you agree to defend, indemnify, and hold harmless GaiaStR LLC from third-party claims, losses, liabilities, damages, penalties, and reasonable costs arising from your unlawful conduct, material breach of these Terms, infringement of another person’s rights, misuse of the platform, or conduct connected with a listing, booking, service, vehicle, property, vessel, activity, or experience for which you are legally responsible. This provision does not require indemnification for liability that applicable law prohibits shifting to you.
Before filing arbitration or a court claim against GaiaStR LLC, you agree to first send a written notice describing the dispute, the relevant transaction or account, and the relief requested to host@gaiastr.com or GaiaStR LLC, 2235 N Courtenay Pkwy, Suite C-3, Merritt Island, FL 32953. GaiaStR and the claimant will attempt in good faith to resolve the dispute informally for at least thirty (30) days after receipt of the notice, unless urgent injunctive relief is reasonably necessary.
Please read this section carefully. If your residence or principal place of business is in the United States, this Section 16 requires most disputes between you and GaiaStR LLC to be resolved through binding individual arbitration unless you timely opt out as described below. It also includes a jury-trial waiver and class/representative-action waiver.
Agreement to arbitrate. To the fullest extent permitted by applicable law, disputes, claims, or controversies arising out of or relating to these Terms, prior versions of these Terms, your account, your use of GaiaStR, or a transaction conducted through GaiaStR that are not resolved through the informal process above will be resolved by binding arbitration on an individual basis rather than in court. Questions concerning the formation, scope, validity, interpretation, or enforceability of this Arbitration Agreement may be decided by the arbitrator to the extent permitted by law.
Federal Arbitration Act and AAA. This Arbitration Agreement evidences a transaction involving interstate commerce and is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16, to the extent applicable. Unless GaiaStR and the claimant agree otherwise, arbitration will be administered by the American Arbitration Association (AAA) under the AAA Consumer Arbitration Rules then in effect, as modified by this Agreement.
Exceptions. Either party may bring an eligible individual claim in small-claims court. Either party may also seek appropriate emergency, injunctive, or equitable relief in a court of competent jurisdiction for actual or threatened misuse of intellectual property, fraud, hacking, security threats, unauthorized access, or other circumstances where immediate court relief is legally available.
Jury-trial waiver. For disputes covered by this Arbitration Agreement, you and GaiaStR LLC knowingly waive the right to have the dispute decided by a judge or jury in court, except where applicable law does not permit that waiver.
Class and representative-action waiver. To the fullest extent permitted by law, you and GaiaStR LLC agree that claims will be brought only in an individual capacity. Neither party may bring or participate in a class action, class arbitration, private-attorney-general action, representative action, mass action, or consolidated proceeding seeking relief for persons other than the individual claimant, except where applicable law makes such a waiver unenforceable.
30-day right to opt out. You may opt out of this Arbitration Agreement by sending an individual written notice within thirty (30) days after you first accept Terms containing this Arbitration Agreement. Email the notice to host@gaiastr.com with the subject “Arbitration Opt-Out Notice.” The notice must include your full legal name, mailing address, the email address associated with your GaiaStR account, and a clear statement that you are opting out of the GaiaStR Arbitration Agreement. The notice must be sent by you personally, not as a group or class submission. If you timely opt out, all other provisions of these Terms continue to apply, including the governing-law and court-venue provisions below.
Future arbitration changes. If GaiaStR materially changes this Arbitration Agreement in the future, GaiaStR may provide a new notice or rejection opportunity where required by law. A valid opt-out submitted under this version will not be revoked merely because GaiaStR later updates these Terms.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law or another mandatory law applies. For any dispute that is not subject to arbitration and may lawfully be heard in court, the parties consent to the state or federal courts with jurisdiction in or serving Brevard County, Florida, unless applicable law requires a different venue.
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect to the fullest extent permitted by law. GaiaStR’s failure to enforce a provision is not a waiver of that provision. You may not assign or transfer your account or obligations under these Terms without GaiaStR’s written consent. GaiaStR LLC may assign these Terms as part of a merger, reorganization, financing, sale of assets, or other lawful business transfer, subject to applicable law.
Provisions that by their nature should continue after account closure or termination—including payment obligations, refunds, chargebacks, disputes, indemnification, intellectual-property rights, limitations of liability, record retention, governing law, and dispute-resolution provisions—survive to the extent permitted by law.
These Terms, the Privacy Policy, the Renter / Guest Disclaimer & Booking Agreement, and any applicable checkout, listing-specific, Adventure Pass, Host, cancellation, refund, damage, or supplemental terms form the agreement governing the relevant use of GaiaStR. If a more specific term directly conflicts with a general provision in these Terms, the more specific term controls for that transaction to the extent of the conflict, unless applicable law requires otherwise.
You are responsible for keeping your account email address and other required contact information current. Notices from GaiaStR concerning these Terms, account restrictions, disputes, legal requirements, or material policy changes may be delivered to your account, to the email address associated with your account, or by another method permitted by applicable law. Electronic notice is considered provided when sent or made available through the designated channel, except where applicable law requires a different method or timing.
Formal notices to GaiaStR LLC should be sent to host@gaiastr.com and, where physical notice is required or appropriate, to GaiaStR LLC, 2235 N Courtenay Pkwy, Suite C-3, Merritt Island, FL 32953. Specific dispute or arbitration notices must also follow any additional procedure stated in the applicable dispute-resolution section.
Except where these Terms or another applicable GaiaStR agreement expressly state otherwise, these Terms are intended for the benefit of the parties to them and do not create contractual enforcement rights in unrelated third parties.
